This Silian Customer Agreement ("Terms") sets out the terms and conditions on which Silian Limited, whose registered office is at Newfrith House, 21 Hyde Street, Winchester, United Kingdom, SO23 7DR ("We", "Us" or "Silian") licenses its fundraising platform and API services (together the "Silian Services") to You (as defined below). By accessing or using the Platform, you agree to these Terms. If you do not agree, you must discontinue use immediately.

1. Definitions

  • Silian Limited ("we," "us," "our"): The company providing the Platform.
  • Platform: The software developed and provided by Silian Limited to support fundraising activities.
  • User ("you," "your"): An individual or entity approved to access and use the Platform.
  • Third-Party Services: External services such as LinkedIn, Google Calendar, Gmail, and Google Drive that integrate with the Platform.
  • Data Processing: The collection, analysis, and use of data for the purposes of running fundraising campaigns.
  • Content: Any data, information, or material uploaded, shared, or processed through the Platform.
  • Personal Data: Any information related to an identified or identifiable individual processed through the Platform.

2. About Us

Silian Limited ("we," "us," "our") is a company registered in the United Kingdom that provides software tools to assist businesses in managing and executing their fundraising processes. Our platform integrates with various third-party services to enhance fundraising capabilities.

3. Access and Use

  • Our Platform is only available to approved customers.
  • You are responsible for maintaining the confidentiality of your login credentials and ensuring that your use complies with applicable laws.
  • The Platform integrates with third-party services (e.g., LinkedIn, Google Calendar, Gmail, Google Drive) to enhance its functionality.
  • By using the Platform, you authorize us to access necessary data from these services as described in Section 4.
  • You must not misuse, copy, or reverse-engineer the Platform.
  • You must comply with all applicable data protection and privacy laws when using the Platform.

4. Third-Party Service Integrations and Data Access

Our Platform integrates with Google services to provide enhanced fundraising capabilities. By using our Platform, you grant us permission to access the following Google data:

  • Profile Information: Your Google profile information (name, email address) for account management and authentication.
  • Gmail Access: Read access to your Gmail messages and the ability to send emails on your behalf for fundraising outreach.
  • Google Calendar: Access to your calendar events to schedule and manage fundraising meetings.
  • Google Contacts: Read access to your contacts to facilitate fundraising outreach and relationship management.
  • Google Drive: Read access to documents and files for fundraising materials and presentations.
  • Google Docs: Read access to documents for fundraising content and materials.

Important: We do not permanently store your emails, calendar events, contacts, or documents. This data is accessed temporarily to provide our services and is not retained beyond what is necessary for the operation of the Platform.

5. Data Handling and Storage

  • We process data from your Google services to facilitate fundraising activities and provide insights.
  • We do not store your emails, calendar events, contacts, or documents beyond what is necessary for the operation of the Platform.
  • Meeting recordings and transcripts are generated for your use but are not permanently stored.
  • All data processing is conducted in accordance with applicable data protection laws.
  • We implement industry-standard security measures to protect your data during processing.

6. Your Rights and Permissions

  • You have the right to revoke access to any third-party service at any time through your account settings.
  • You can request access to, correction of, or deletion of any personal data we process.
  • You can object to the processing of your data where applicable under data protection laws.
  • You maintain full control over your Google account and can revoke our access through Google's security settings.
  • You must ensure that all data you provide is accurate and lawful.

7. Security and Privacy

  • We implement industry-standard security measures to protect your data during processing.
  • We use secure API connections to access third-party services.
  • We do not store your login credentials for third-party services.
  • The Platform processes data temporarily and does not retain sensitive information beyond what is required for its functionality.
  • All data transfers are encrypted and secure.

8. Fees and Payments

  • If applicable, fees for accessing the Platform will be agreed upon separately.
  • All payments are non-refundable unless expressly stated otherwise.
  • We reserve the right to modify pricing with appropriate notice.

9. Limitation of Liability

  • The Platform is provided "as is" without warranties of any kind.
  • We are not liable for any direct, indirect, or consequential damages arising from your use of the Platform.
  • We are not responsible for the privacy practices of third-party services.
  • Our liability is limited to the amount paid for the services in the 12 months preceding the claim.

10. Termination

  • We reserve the right to suspend or terminate your access if you violate these Terms.
  • Upon termination, we will cease processing your data and delete any stored personal information.
  • You can terminate your account at any time through your account settings.
  • Upon termination, you should revoke our access to third-party services through their respective security settings.

11. Changes to Terms

We may update these Terms from time to time. If the changes substantially affect your rights, we will take commercially reasonable measures to notify you. Otherwise, you are responsible for reviewing these Terms regularly.

12. Governing Law

These Terms are governed by and interpreted in accordance with the laws of England and Wales. Any disputes arising from these Terms will be subject to the exclusive jurisdiction of the courts of England and Wales.
